— The first group expansion by Ours, a portfolio company of the fund managed by Nihon PMI Partners. Building a structure to protect and grow community-based care together —

Ours Co., Ltd. (headquartered in Shinjuku-ku, Tokyo; Representative Director: Katsuyuki Honda; hereinafter “Ours”), a portfolio company of the Regional Healthcare Revitalization Fund Investment Limited Partnership (hereinafter the “NPMI Fund”), which is operated by Nihon PMI Partners Co., Ltd. (headquartered in Shinjuku-ku, Tokyo; President & CEO: Satoshi Hamada; hereinafter “NPMI”), acquired all of the shares of Chojinkai Co., Ltd. (headquartered in Setagaya-ku, Tokyo; hereinafter “Chojinkai”) on October 14, 2026. Chojinkai operates home-visit nursing and in-home care support (care management) services in Setagaya-ku, Tokyo, and with this transaction becomes part of the Ours Group.

This is the first group expansion led by Ours since the NPMI Fund began investing in and supporting the company in June 2024.

■ About Chojinkai

Founded in 2019, Chojinkai is based in Todoroki, Setagaya-ku, Tokyo, and operates Tsugumi Nurse Care Station (home-visit nursing) and Care Plan Tsugumi (in-home care support).

Since its founding, Chojinkai has provided care to clients across a wide range of medical conditions, attentive to each individual’s needs. Its ability to respond to the wishes of people who want to receive care at home, regardless of their condition or level of medical dependency, has earned it deep trust from local medical institutions and care managers.

■ About Ours

Founded in September 2013, Ours operates three home-visit nursing stations in Tokyo. Aiming to offer the kind of services its staff would want for themselves and their own families, it provides home-visit nursing, rehabilitation, and in-home care support that place the client’s perspective first.

Since the NPMI Fund began its support, Ours has built an operational foundation that allows each station to focus on client care, while driving business growth centered on recruitment and new station openings.

■ Background and Purpose of the Transaction

Ours and Chojinkai both provide care centered on the perspective of each individual client, and share much common ground in their approach to quality of care and the attitudes they value as healthcare professionals. Through ongoing dialogue, the two companies agreed to move forward together as the Ours Group, in order to continue protecting and growing the strengths and community trust that Chojinkai has built.

Natsu Niwa, the founder of Chojinkai, will continue to lead its operations as Director and Station Manager, and Chojinkai will continue to provide home-visit services as before under its current business names and staffing structure. There will be no changes to the services provided to clients, their families, or related organizations.

■ Comment from Satoshi Hamada, President & CEO of NPMI

“We are delighted to welcome Chojinkai, which has earned deep trust from the community for its reliable ability to serve clients across a wide range of medical conditions, to the Ours Group. Since we began supporting Ours, NPMI has worked alongside our on-site team members to strengthen its operational foundation through our ‘hands-on PMI’ approach. Going forward, we will share that foundation with everyone at Chojinkai, and support Natsu Niwa and all of the staff so that they can continue delivering the care they have always valued to the community.”

■ Comment from Katsuyuki Honda, Representative Director of Ours Co., Ltd.

“We are truly delighted to welcome Chojinkai, which Natsu Niwa and the staff have so carefully nurtured, as a new member of our team. The ability to serve a wide range of clients that the staff of Tsugumi Nurse Care Station and Care Plan Tsugumi have built up is a valuable source of learning for us as well. We will continue to create an environment where everyone can focus on care with peace of mind, and by drawing on each other’s strengths, we will keep delivering home-visit nursing that clients and their families in the community continue to choose.”

■ Comment from Natsu Niwa, Founder of Chojinkai Co., Ltd.

“Since our founding, all of our staff have worked closely with each client so that people with any illness or disability can live at home with peace of mind. By joining the Ours Group, which shares the same values, we have gained reliable partners. We will continue to provide home-visit nursing that stays close to the community, keeping the Tsugumi name and our team just as they are. We look forward to your continued support.”
